Contract work is one of the most time-intensive aspects of legal operations, and a significant portion of it is structurally repetitive: the same NDA clauses, the same MSA provisions, the same vendor agreement protections drafted in slightly different forms thousands of times a day across the legal profession. AI doesn't replace the legal judgment required to evaluate whether terms are appropriate for a specific business context — but it dramatically accelerates the drafting and initial review process, allowing legal teams to spend their time where it matters most.

Drafting First-Draft Agreements

For standard agreement types — NDAs, MSAs, SOWs, vendor agreements, consulting agreements — AI can produce a comprehensive first draft in minutes. Provide:

• Agreement type and purpose: what is this contract governing?
• Parties and their roles: who is providing what to whom?
• Key commercial terms: fees, payment terms, deliverables, timelines, exclusivity
• Governing jurisdiction: which state or country's law will govern disputes?
• Any specific protections needed: IP ownership, data protection requirements, liability caps, indemnification scope

Ask the AI for a first draft with standard protective clauses appropriate for each party's position. For agreements where your company is typically the service provider, the protective language differs from when you're the customer — specify your role explicitly.

Reviewing Contracts You Receive

When you're on the receiving end of a contract, AI is particularly valuable for quickly identifying clauses that deviate from standard market terms or that are unfavorable for your position.

Paste a contract section and ask: 'What clauses here are unusual or potentially unfavorable for the receiving party? Compare to market standard terms and flag anything that would require negotiation.' The AI will typically surface: overly broad indemnification obligations, asymmetric IP assignment clauses, unusually short cure periods, auto-renewal terms with inadequate notice requirements, and limitation of liability carve-outs that remove meaningful protection.

Building a Clause Library

For teams that negotiate contracts regularly, ask the AI to help build a clause library: your preferred language for the 20-30 clauses that appear most frequently in your agreements. This library becomes the standard that incoming contracts are compared against — and the source of your negotiation counter-proposals.
